Possible Bearish Signals With Alignment Healthcare Insiders Disposing Stock

Simply Wall St·04/10/2025 14:26:56
Listen to the news

Many Alignment Healthcare, Inc. (NASDAQ:ALHC) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Alignment Healthcare

In the last twelve months, the biggest single sale by an insider was when the Founder, John Kao, sold US$8.6m worth of shares at a price of US$15.53 per share. That means that an insider was selling shares at slightly below the current price (US$18.54). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 14% of John Kao's stake.

Does Alignment Healthcare Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Alignment Healthcare insiders own about US$196m worth of shares (which is 5.4% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
